These Terms of Use (the "Terms") govern your access to and use of the Pension Resource website at pensionresource.website, including its calculators, forms, research pages, continuing education tracking, downloads, AI assistant, and any other content or features (together, the "Site"), operated by Omnia Inc ("we", "us", "our").
1. Acceptance
You accept these Terms by clicking I Agree (or checking the agreement box when you create an account). If you do not agree, do not use the Site. If you use the Site for an employer, client, or other organization, you accept these Terms on its behalf and confirm that you have authority to do so; "you" then includes that organization.
We record the version of the Terms you accepted, the date and time, and the browser and network address used, as evidence of your acceptance.
2. Eligibility
You must be at least 18 years old and able to enter into a binding contract. The Site is intended for pension, retirement plan, and actuarial professionals and is not directed to consumers or children.
3. No advice; no professional relationship
The Site provides general information and tools. Nothing on or from the Site is legal, tax, actuarial, accounting, investment, or other professional advice, and no attorney-client, actuary-client, fiduciary, or other professional relationship is created by your use of the Site. We are not attorneys. Documents, forms, and reports generated by the Site are not legal documents and are not a substitute for advice from a qualified professional who knows your facts. Obtain legal counsel for legal advice or legal documents.
4. You must verify everything
Calculations, results, forms, summaries of law, deadlines, AI-generated answers, and other output may be incomplete, out of date, or wrong. Laws, regulations, IRS and PBGC guidance, and limits change frequently. You are solely responsible for independently reviewing and verifying all output before relying on it or providing it to anyone else, and for all decisions, filings, certifications, and advice you or your organization make. Do not rely on the Site as the sole basis for any filing, certification, plan document, or client deliverable.
5. Use at your own risk; disclaimer of warranties
YOU USE THE SITE ENTIRELY AT YOUR OWN RISK. You assume all risk of relying on, sharing, or acting on anything from the Site, and of any data you put on it.

We do not warrant that the Site is free of viruses or other harmful components.
6. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW:

- OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SITE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
- These limits apply to every theory of liability, including contract, tort (including negligence), strict liability, and statute, and even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow certain exclusions or limits; in those jurisdictions our liability is limited to the smallest amount permitted by law.
7. Indemnification
You will defend, indemnify, and hold harmless Omnia Inc and its owners, officers, employees, developers, contractors, and service providers from and against all claims, losses, damages, liabilities, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site or its output; (b) information, files, or data you submit; (c) your providing Site content or output to any other person, including clients, plan sponsors, participants, or regulators; (d) your violation of these Terms or of any law; or (e) your violation of any third party's rights.

- Do not upload or enter anything you are not willing to have exposed. No website is perfectly secure. Data on the Site could be accessed, disclosed, altered, or lost through security breaches, errors, or the actions of others, and we do not guarantee its confidentiality or security. To the fullest extent permitted by law, we are not responsible for any unauthorized access to, or disclosure, alteration, or loss of, data you provide.
- Do not upload Social Security numbers, participant or employee data, or other sensitive personal information unless a feature specifically asks for it. If you do, you accept the risk of its exposure and are responsible for any notice or other obligation you owe to the people it concerns.
- Do not upload anything that contains malware or that could harm the Site or others. If you do, you are solely responsible for the resulting damage.
- Our 1099-R and Form 5500 e-filing services are built so that recipient and filing data is processed only to prepare and transmit it and is not kept on our servers afterward, apart from encrypted review drafts that are deleted within days. Those services do keep account, filing-status, and security-log records. Their own terms and privacy notices describe exactly what is kept and for how long, and control for those services.
- We do not guarantee storage, backup, or availability of any data. Data or files stored on the Site may be lost or deleted at any time, with or without notice, and without any option for recovery. Keep your own copies.

9. Acceptable use
You will not: use the Site in violation of law or professional rules; access another person's account; probe, scan, overload, or bypass the Site's security or rate limits; scrape or bulk-download content except as allowed by robots.txt and llms.txt; copy, modify, reverse engineer, or inject code into the Site; or use the Site to build a competing product.
10. Intellectual property
The Site, including its software, code, design, text, calculators, and compilations, is owned by Omnia Inc or its licensors and is protected by copyright and other laws. All rights are reserved. Code delivered to your browser to operate the Site is a published, copyrighted work and is not licensed to you for any other purpose. You may print, copy, and share pages and output generated for your own professional use, but not the underlying code. Government documents and statutes linked or reproduced on the Site remain in the public domain to the extent they were.
11. Sharing output with others
If you provide information or output from the Site to anyone who has not accepted these Terms (for example, a client or plan sponsor), you are solely responsible for that use, for your own professional judgment in doing so, and for any resulting claims, and section 7 applies.
12. Third-party links and services
The Site links to and uses third-party websites and services (for example, government sites, payment processors, and AI model providers). We do not control and are not responsible for them, and your use of them is subject to their own terms.
13. Additional terms for specific services
Some services have additional terms, including the 1099-R e-filing service and the Form 5500 e-filing service. Those terms apply in addition to these Terms for those services, and control if they conflict.
14. Suspension and termination
We may change, suspend, or discontinue any part of the Site, or suspend or end your access, at any time and for any reason, without liability. Sections 3 through 11 and 15 through 17 survive any termination. Former users keep their obligations under these Terms for the period they used the Site.
15. Changes to these Terms
We may update these Terms. Each version is dated. When the Terms change, you will be asked to accept the new version before you continue using the Site. If you do not accept, stop using the Site.

Any claim must be brought within one year after it arises, or it is permanently barred, to the extent permitted by law.
17. General
These Terms, together with the Privacy Policy and any additional service terms, are the entire agreement between you and us about the Site and replace any earlier version. If any provision is found unenforceable, it will be enforced to the maximum extent permitted and the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them. Headings are for convenience only.
